These General Terms and Conditions apply to the provision of digital content and services by Diraya Intelligence GmbH on a contract basis or under a subscription model in Switzerland and the European Union.
Diese AGB gelten für die Bereitstellung digitaler Inhalte und Dienstleistungen durch die Diraya Intelligence GmbH auf Auftragsbasis oder im Abonnementmodell in der Schweiz und der Europäischen Union.
1. Scope1. Geltungsbereich
These General Terms and Conditions (GTC) govern the business relationship between Diraya Intelligence GmbH (hereinafter referred to as the 'Provider') and its customers (hereinafter referred to as the 'Customer') in the version valid at the time of conclusion of the contract.
Diese Allgemeinen Geschäftsbedingungen (AGB) regeln die Geschäftsbeziehungen zwischen der Diraya Intelligence GmbH (nachfolgend „Anbieter") und ihren Kundinnen und Kunden (nachfolgend „Kund:innen") in der zum Zeitpunkt des Vertragsschlusses gültigen Fassung.
2. Contracting Parties and Conclusion of Contract2. Vertragspartner und Vertragsschluss
The contract is concluded with Diraya Intelligence GmbH. A binding contract is created upon acceptance of an offer or order confirmation from the provider. The offers on the website do not constitute legally binding offers.
Der Vertrag kommt zustande mit der Diraya Intelligence GmbH. Ein verbindlicher Vertrag entsteht durch die Annahme eines Angebots oder einer Auftragsbestätigung des Anbieters. Die Angebote auf der Website stellen keine rechtlich bindenden Offerten dar.
3. Services3. Leistungen
The provider supplies digital content and services, either individually on a project basis or within the framework of a subscription model. No physical goods are delivered. The exact scope of services is defined in the respective agreement or service description.
Der Anbieter erbringt digitale Inhalte und Dienstleistungen, entweder individuell auftragsbezogen oder im Rahmen eines Abonnementmodells. Physische Waren werden nicht geliefert. Der genaue Leistungsumfang ergibt sich aus der jeweiligen Vereinbarung oder Leistungsbeschreibung.
4. Prices and Payment4. Preise und Zahlung
All prices are exclusive of VAT in Swiss Francs (CHF). Payment is made in advance or against invoice, payable within 10 days from the invoice date. In the event of late payment, the provider is entitled to suspend services until full payment has been made.
Alle Preise verstehen sich exklusive Mehrwertsteuer in Schweizer Franken (CHF). Die Zahlung erfolgt per Vorkasse oder gegen Rechnung, zahlbar innert 10 Tagen ab Rechnungsdatum. Bei Zahlungsverzug ist der Anbieter berechtigt, Leistungen bis zur vollständigen Bezahlung auszusetzen.
5. Term and Termination of Subscriptions5. Laufzeit und Kündigung bei Abonnements
Subscriptions have a minimum term of three (3) months. The notice period is three (3) months for an annual subscription and one (1) month for a monthly subscription. Termination on 31 December is excluded. Terminations must be in text form (e.g. email to info@diraya.ch).
Abonnements haben eine Mindestlaufzeit von drei (3) Monaten. Die Kündigungsfrist beträgt drei (3) Monate bei einem Jahresabo und ein (1) Monat bei einem Monatsabo. Eine Kündigung auf den 31. Dezember ist ausgeschlossen. Kündigungen bedürfen der Textform (z. B. E-Mail an info@diraya.ch).
6. Rights of Use6. Nutzungsrechte
The provider grants customers a simple, non-exclusive and non-transferable licence to use the digital content supplied. Transfer, sub-licensing or resale is not permitted. All intellectual property rights remain with the provider.
Der Anbieter räumt den Kund:innen an gelieferten digitalen Inhalten eine einfache, nicht ausschliessliche und nicht übertragbare Nutzungslizenz ein. Eine Weitergabe, Unterlizenzierung oder der Weiterverkauf ist nicht gestattet. Alle Rechte am geistigen Eigentum verbleiben beim Anbieter.
7. Warranty and Liability
As no physical goods are delivered, there is no warranty or guarantee. The provider is only liable for damages caused by intentional or grossly negligent behaviour. In cases of slight negligence, the provider is only liable for breaches of essential contractual obligations, limited to typically foreseeable damages. Liability for indirect damages, consequential damages or lost profits is excluded to the extent permitted by law.
8. Availability and Support
The provider strives for high availability of its digital services but cannot guarantee uninterrupted accessibility. Maintenance windows and necessary technical interruptions will be announced in advance where possible. Support is provided via info@diraya.ch or via a secure messaging app defined individually with the customer.
9. Cancellation and Withdrawal9. Widerruf und Rücktritt
Under Swiss law, there is no statutory right of withdrawal for digital content or services. Withdrawal from the contract is only possible by mutual agreement.
Nach schweizerischem Recht besteht kein gesetzliches Widerrufsrecht für digitale Inhalte oder Dienstleistungen. Ein Rücktritt vom Vertrag ist nur nach gegenseitiger Absprache möglich.
10. Data Protection10. Datenschutz
The processing of personal data is carried out in accordance with the Privacy Policy of Diraya Intelligence GmbH, which forms an integral part of these General Terms and Conditions.
Die Verarbeitung personenbezogener Daten erfolgt gemäss der Datenschutzerklärung der Diraya Intelligence GmbH, welche Bestandteil dieser AGB ist.
11. Amendments to the General Terms and Conditions
The provider may amend these General Terms and Conditions at any time. Customers will be informed in advance of any significant changes and may agree to them or not. Without consent, existing contracts shall remain valid until the end of the agreed term under the previous conditions.
12. Final Provisions
Swiss law applies exclusively, excluding conflict of laws provisions and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Zurich, Switzerland. Should any provision of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
